ZIP shall grant to the Attendee a limited, non-exclusive, non-transferable, non-sublicenseable, and revocable right to use the Zipevent Services worldwide and without charge for the purpose of downloading or installing ZIP’s application and/or using ZIP’s website or Zipevent Services. However, ZIP reserves the right to charge for downloading or installing ZIP’s application and/or using Zip’s website or Zipevent Services or using future releases and/or certain features enabled by ZIP’s application at a future date with or without notice.

Prior to using certain aspects of the Zipevent Services, you are required to register with ZIP and provide ZIP with an accurate, truthful and complete Attendee Data, including without limitation your name or entity code, e-mail address and a password (“User Identity”) you will use to access the Zipevent Services. Upon that, you are further required to keep your registration information accurate and up-to-date. Failure to do so shall constitute a breach of this T&C, which may result in immediate termination of your account.

Notwithstanding the forgoing, ZIP reserves the right to refuse registration of, or cancel a User Identity or cancel a registration in its sole discretion and for whatsoever reason without the need to justify such refusal. The reasons for such refusal can include, but not limited to, (1) the Attendee’s breach of this T&C; (2) suspicious reservation; (3) suspected criminal activity; (4) suspicion of fraud or theft; (5) submission of misleading or erroneous information; (6) the Attendee’s reselling Zipevent Services reserved through Zipevent Services without ZIP’s prior written approval; (7) legal restrictions; (8) the Organizer’s request; (9) Force Majeure Event; (10) trade or economic sanctions; (11) credit card problem; (12) inappropriate behavior, (13) threats; (14) insults; (15) violence; (16) refusal to provide information; (17) practical obstacles; (18) communication problems; (19) blacklisting by the government or international organization; (20) history or previous records; (21) obvious errors etc.

You acknowledge and agree that when registering, certain Attendee Data associated with your email may be imported from your profile on other databases or third party’s applications. You further agree that following your registration for the use of Zipevent Service, your profile may be updated with information associated with your email address and previously provided in connection with your registration for, or participation in, the Organizer’s Event utilizing the Zipevent Services.

You acknowledge that you shall be responsible for maintaining the confidentiality of the User Identity. Furthermore, you are entirely responsible for any and all activities which occur under the User Identity whether such activity shall be carried out by you or your authorized persons or any unauthorized persons and agrees to immediately notify ZIP of any unauthorized use of Zipevent Services or your User Identity, or any other breach of security, that is known to you.

By downloading Zip’s application for using Zipevent Services, you agree to receive push notifications, messages, e-mails, text messages and/or any other means of communication format from ZIP.

You agree that ZIP may use the Attendee Data to contact you and to deliver any information to you that, in some cases, is targeted to your interests. By accepting this T&C, you expressly agree to receive this information.

In using Zipevent Services and after the Attendee’s acceptance to attend the Event (and payment for the ticket, if required), you acknowledges that there might be related features (as detailed below) that you will be allowed to use in the Event under the Organizer’s management and also you expressly agree to the use terms of such feature.

As part of Zipevent Services, ZIP enable Attendee, Organizer and affiliated websites owned and operated by the third parties and connected to Zipevent Services via APIs, to upload the Content to Zipevent Services. The Content will not be private and may be available to all or part of the users.

By submitting the Content to, on or through Zipevent Services, you represent, warrant and confirm that: (i) you are the exclusive author of the Content and the Content is your original work and is not copied in whole or in part from any other work; or (ii) you have obtained all necessary rights, licenses and/or permissions required for the use, uploading, publication or any other form of exploitation of the Content in the manner contemplated by Zipevent Services, including without limitation permissions relating to copyrights, trade names trademarks, rights of publicity and/or rights of privacy; and (iii) the Content is not libelous, obscene or otherwise in violation of this T&C.

By submitting the Content to, on or through Zipevent Services, you grant both ZIP and the Organizer to which the information pertains, and irrevocable, royalty-free, worldwide, perpetual right and license to publicize, display, distribute, reproduce, transfer, disseminate, use, copy, modify, archive, store, and create derivative works based upon such Content, in any form, media or technology of any kind whether now existing or developed in the future.

Without limiting the generality of the previous sentence, you agree and authorize ZIP and its affiliates and business partners to: (i) share the Content across all affiliated websites, and, in ZIP’s discretion, to use your name and any other information in connection with its use of such Content; and (ii) allow and enable other attendees or Event organizers to make use of the Content uploaded or inserted by yourself and stored on ZIP’s database, for the purposes of other events utilizing Zipevent Services.

All rights granted in this Section are granted by you without the need for, or right to consideration, remuneration or compensation of any kind or sort to you.

You acknowledge that Zipevent Services include, among others, a feature enabling the Organizer to "manage and create Event" in respect of the Content pertaining to its Event. This feature enables the Organizer to assume control over such Content, to the exclusion of your control, regardless of the source of such Content. By uploading the Content relating to the Event you agree that the Organizer may, without limitation, edit, modify, supplement, remove, delete or otherwise introduce a change to such Content. The exercise of such right shall not relieve or absolve the Organizer from responsibility or liability with respect to any Organizer’s contract, posted or uploaded by such Organizer. You acknowledge and agree that ZIP assumes no obligation to verify or authenticate the identity, genuineness, right or proprietorship of the Organizer to "manage and create Event" nor does ZIP assume any responsibility or liability in connection with the use of such feature by the Organizer or any third party purporting to be the Organizer or any consequence thereof.

“คุณ” รับทราบว่า “บริการซิปอีเว้นท์” ได้รวมคุณลักษณะเฉพาะของระบบอื่นๆ ที่ช่วยให้ “ผู้จัดงาน” สามารถ "บริหารจัดการและสร้าง “งานกิจกรรม"” ด้วยการสร้าง “เนื้อหาสาระ” ที่เกี่ยวข้องกับ “งานกิจกรรม” ด้วย โดยคุณลักษณะเฉพาะของระบบนี้ จะทำให้ “ผู้จัดงาน” สามารถควบคุม “เนื้อหาสาระ” ดังกล่าวไปจนถึงการกีดกันไม่ให้ “คุณ” เข้าไปควบคุม โดยไม่คำนึงถึงแหล่งที่มาของ “เนื้อหาสาระ” นั้น ทั้งนี้ ในการนำ “เนื้อหาสาระ” ที่เกี่ยวข้องกับ “งานกิจกรรม” ขึ้นสู่ระบบ “คุณ” ยอมรับว่า “ผู้จัดงาน” อาจแก้ไข, ปรับปรุง, เพิ่มเติม, เอาออกไป, ลบ หรือดำเนินการเปลี่ยนแปลง “เนื้อหาสาระ” ดังกล่าวได้โดยไม่มีข้อจำกัด อนึ่ง การใช้สิทธิดังกล่าวจะไม่ปลดเปลื้องหรือละเว้น “ผู้จัดงาน” จากความรับผิดชอบหรือความรับผิดเกี่ยวกับสัญญาของ “ผู้จัดงาน” ใดๆ ที่ได้ประกาศโฆษณาหรือนำขึ้นสู่ระบบโดยผู้ใช้งานดังกล่าวนั้นเอง โดย “คุณ”รับทราบและยอมรับว่า “ซิป” ไม่มีภาระหน้าที่ในการตรวจสอบหรือรับรองความถูกต้องของตัวตน, ความแท้จริง, สิทธิ หรือความเป็นเจ้าของของ “ผู้จัดงาน” ในการ "บริหารจัดการและสร้าง “งานกิจกรรม"” และ “ซิป” ไม่รับผิดชอบหรือรับผิดใดๆ เกี่ยวกับการใช้คุณลักษณะเฉพาะของระบบของ “ผู้จัดงาน” หรือบุคคลภายนอกใดๆ ที่อ้างว่าเป็น “ผู้จัดงาน” หรือผลจากการกระทำดังกล่าวนั้นด้วย

Without limiting other remedies, ZIP may limit, suspend or terminate Zipevent Services or any part thereof, delay or remove hosted Content, and take technical and legal steps to keep users off the services provided through Zipevent Services if ZIP thinks that such user is misusing Zipevent Services or exposing ZIP or any other user to potential liability.

You may be held liable for any illegal or prohibited Content made accessible on or through Zipevent Services or to other users, including, for example, infringing, defamatory, or offensive materials etc.

“คุณ” อาจต้องรับผิดชอบต่อ “เนื้อหาสาระ” ที่ผิดกฎหมายหรือเป็นที่ต้องห้ามใดๆ ซึ่งนำขึ้นบนหรือผ่าน “บริการซิปอีเว้นท์” หรือต่อผู้ใช้งานรายอื่น รวมถึงเช่น ข้อมูลหรือข้อเท็จจริงที่เป็นการละเมิด, ทำให้เสื่อมเสียชื่อเสียง หรือเป็นที่น่ารังเกียจ เป็นต้น

Zipevent Services are available for all users to enjoy, you may not, under any circumstances, and hereby represent, warrant and undertake that you will not upload, embed, post, transmit, e-mail, disseminate or otherwise make public, available or accessible to, on or through the Zipevent Services any Content that:

ZIP may restrict, suspend, or remove any Content or any part thereof, or remove Content if in ZIP’s discretion, the Content violates any of the terms and conditions of this T&C.

All users acknowledge that given the nature of Zipevent Services and the volume of Content ZIP receives, ZIP cannot and do not monitor all Content or other materials posted or transmitted by the users and third-party information providers.

You acknowledges that ideas you post and information you share may be seen and used by other users or users of Zipevent Services, ZIP cannot guarantee that other users will not use the ideas and information that you share on Zipevent Services. Therefore, if you have an idea or information that you would like to keep confidential and/or do not want others to use, or that is subject to third party rights that may be infringed by your sharing it, do not post or share on Zipevent Services.

YOU ACKNOWLEDGE THAT ZIP IS NOT RESPONSIBLE FOR ANY USER’S MISUSE OR MISAPPROPRIATION OF ANY CONTENT OR INFORMATION YOU UPLOAD TO THE ZIPEVENT SERVICES OR POST IN ANY ZIP COMMUNITY FORUMS, APPLICATION OR WEBSITE.

The payment terms shall apply whenever you elect to purchase any paid service from ZIP or subscribing for one of the Upgrade. You acknowledge that the payment terms that will govern your purchase are those published at the day of purchase as these payment terms may be changed from time to time, with or without prior notice. These payment terms are in addition to and do not derogate from the general terms and conditions applicable to use of the ZIPevent Services.

ZIP reserves the right to modify its rates of any of its services and to add new fees and charges for certain features or additional services at any time and with no prior notice by publishing the new rates at the aforementioned website.

In any case, the new rates will only apply to purchases made after said publishing. If you have purchased an auto-renewable service (if any), you will be notified by email, in advance regarding the change in rates that would become effective in your next billing. If you do not agree to the revised rates, then you may select to cancel your Upgrade prior to said rates entering into effect. For more information on how to cancel your Upgrade, please refer to the "cancellation" clause below.

Taxes and Mandatory Payment: ZIP's rates are net of any purchase tax, VAT or other similar levies taxes or statutory imposed by applicable laws on the purchase of Upgrade or additional services. You acknowledge that you are to pay any taxes or similar applicable charges associated with your purchase and assume all risks, liabilities or responsibilities in connection with said statutory payments and/or any variation in the rates thereof.

Third Party Fees and Commissions: ZIP's rates and prices for ZIP’s services do not include any third-party fees including, but not limited to, payment clearing charges, commissions or fees charged by your internet access provider, any cellular or wireless carrier charges for data services or any other third party applications or services with which you may use the service; you are responsible for selecting and managing these other services, and paying these fees.

Payment Method: ZIP, in its sole discretion, may determine, from time to time, which types of credit/debit cards or other forms or method of payment (e.g., Paypal) it accepts as payment methods for its features and/or additional services (each, an “Accepted Payment Method”). When purchasing with an Accepted Payment Method, the fees for the purchase will be billed/charged immediately following your confirmation and approval of the purchase. Upon purchasing a service that renews automatically("Autorenewable"), such as daily, weekly or monthly, ZIP may process your Accepted Payment Method on each predetermined calendar date. You acknowledge that ZIP is entitled to retain and/or share with any financial institutions and payment processing firms your submitted payment information. If your purchased service began on a day not contained in a subsequent month, ZIP will process your payment on the last business day of such month.

You acknowledge that the amount charged automatically may vary from time to time due to changes in your account, changes in applicable taxes, exchange rate fluctuations or other related changes. You hereby authorize ZIP to charge your credit card for such varying amount.

Payment: By purchasing a service via the submission of a form of payment, you hereby confirm and agree that: (i) ZIP is authorized to charge you for all purchased services using the provided information and payment method which are stored in your account as of the applicable date for payment; (ii) your payment for the feature or additional service on the due date form of payment will be fulfilled; (iii) all information provided by you in connection with the payment is true and accurate; (iv) you have full authorization to conclude the transaction and use the payment method provided; and (v) you are responsible for any chargeback fees as well as any reasonable collection costs and legal fees and expenses that ZIP may incur as a result of your failure to pay on a timely basis.

ZIP is permitted to retain all payment information and payment method, including all debit and credit card information submitted by you and your issuing bank or the applicable payment network during the time you benefit from ZIP's services.

Charges are made in accordance with the currency specified by ZIP. You acknowledge that you are to assume all risks, liabilities or responsibilities associated with any fluctuations in exchange rates.

Changes to your payment methods and account information: You undertake to maintain your account information and all payment information complete, accurate and up to date at all times. You may update your information at any time by sending ZIP an email to support@zipeventapp.com. You acknowledge that if, for any reason, the information provided by you is inaccurate, invalid or incorrect, ZIP shall, nonetheless, be entitled to continue billing your account and/or credit card and that you shall be responsible for any outstanding, uncollected amounts as well as all charges and expenses incurred as a result of said billing.

Cost of Collection and Credit Card Chargebacks: You undertake to indemnify ZIP for all reasonable costs and expense incurred by it in its efforts to collect any unpaid or past due amounts, including, but not limited to, reasonable attorneys' fees and other associated costs. Delinquent payments shall bear interest at the rate of 1.25% per month from the due date for payment and until payment is received by ZIP in full. In addition, you acknowledge and agree that in case you purchase a service with a credit card and then subsequently request your credit card issuer to reverse the payment for such service then ZIP shall be entitled to block your access to its services until such time as you reimburse ZIP the amount of the fees ZIP was charged by the card issuer.

ค่าใช้จ่ายในการเรียกเก็บเงิน และการปฏิเสธการชำระเงินด้วยบัตรเครดิต: “คุณ” ยินยอมที่จะชดใช้ต้นทุนและค่าใช้จ่ายอันสมควรทั้งหมดที่เกิดขึ้นจากการที่ “ซิป” ใช้ความพยายามในการเรียกเก็บเงินที่ยังไม่ได้ชำระหรือเลยกำหนดชำระให้แก่ “ซิป” ซึ่งรวมถึงแต่ไม่จำกัดแค่เพียงค่าธรรมเนียมทนายความอันสมควร และค่าใช้จ่ายอื่นๆ ที่เกี่ยวข้อง ทั้งนี้ การชำระเงินที่เลยกำหนดเวลาจะมีการคิดดอกเบี้ยในอัตรา 1.25% ต่อเดือน นับจากวันที่ครบกำหนดชำระเงินไปจนกว่า “ซิป” จะได้รับชำระเงินเต็มจำนวนแล้ว นอกจากนี้ “คุณ” รับทราบและตกลงว่าในกรณีที่ “คุณ” ซื้อบริการด้วยบัตรเครดิต และต่อมาได้ขอให้ผู้ออกบัตรเครดิตของ “คุณ” เอาเงินคืนสำหรับบริการนั้น “ซิป” จะมีสิทธิปิดกั้นการเข้าถึงบริการของ “คุณ” จนกว่า “คุณ” จะได้ชำระเงินค่าธรรมเนียมที่ผู้ออกบัตรเรียกเก็บจาก “ซิป” คืนให้แก่ “ซิป” แล้ว

Refunds: Subject to applicable laws, the payment for ZIP’s services and upgraded accounts are non-refundable. In the case of postponement or cancellation of any Event, and if you are eligible for a refund, you agree to directly contact the Organizer and the Organizer shall be only party who is responsible for your refund. ZIP shall not be liable for any damages caused by postponement or cancellation of the Event by the Organizer in any conditions.

การคืนเงิน: ภายใต้กฎหมายที่ใช้บังคับ การชำระเงินสำหรับบริการของ “ซิป” และบัญชีที่ได้ยกระดับแล้ว จะไม่สามารถคืนเงินได้ ทั้งนี้ ในกรณีที่มีการเลื่อนหรือยกเลิก “งานกิจกรรม” ใดๆ และหาก “คุณ” มีสิทธิได้รับเงินคืน “คุณ”ตกลงที่จะติดต่อ “ผู้จัดงาน” เองโดยตรง และ “ผู้จัดงาน” จะเป็นฝ่ายที่รับผิดชอบในการคืนเงินของ “คุณ” เท่านั้น อนึ่ง “ซิป” จะไม่รับผิดชอบต่อความเสียหายใดๆ ที่เกิดจากการเลื่อนหรือยกเลิก “งานกิจกรรม” โดย “ผู้จัดงาน” ไม่ว่ากรณีใดๆ ก็ตาม

ZIP reserves the right to refuse any request for refund if it reasonably believes that you are in breach of this T&C or other terms and conditions applicable to the use of ZIP's services or you willfully trying to exploit this refund policy. If you believe that ZIP has mischarged you, you may contact ZIP at support@zipeventapp.com within ninety (90) days of said charge and ZIP will check your inquiry. No refunds shall be given for any charges after the passage of ninety (90) days.

“ซิป” ขอสงวนสิทธิ์ในการปฏิเสธคำขอคืนเงินใดๆ หากมีความเชื่ออย่างสมเหตุสมผลว่า “คุณ” ไม่ปฏิบัติตาม “ข้อกำหนดและเงื่อนไข” ตลอดจนข้อตกลงและเงื่อนไขอื่นๆ ที่เกี่ยวข้องกับการใช้บริการต่างๆ ของ “ซิป” หรือคุณจงใจพยายามใช้ประโยชน์จากนโยบายการคืนเงินนี้ ทั้งนี้ หาก “คุณ” เชื่อว่า “ซิป” คิดเงินของ “คุณ” ผิดพลาด “คุณ”สามารถติดต่อ “ซิป” ได้ที่ support@zipeventapp.com ภายในเก้าสิบ (90) วันหลังจากเรียกเก็บเงินดังกล่าว โดย “ซิป” จะตรวจสอบคำถามของ “คุณ” ให้ อนึ่ง จะไม่มีการคืนเงินสำหรับค่าธรรมเนียมใดๆ หลังจากผ่านไปเก้าสิบ (90) วันแล้ว

Cancellation: In the case of Auto Renewable services, charges will continue in effect unless and until you elect to cancel it or ZIP terminates it. Any cancellation will be effective as of the end of the then-current billing period. You may send ZIP an email to support@zipeventapp.com. ZIP reserves the right to cancel or suspend your upgraded account if you fail to pay in full and in a timely manner in accordance with these Payment Terms. Although not obligated to, ZIP will do its best within reason to provide you with a notice promptly after any failure of payment in full and on time.

By acquiring an upgraded plan and/or by completing a purchase through ZIP’s services you hereby agree to these payment terms and conditions.

You acknowledges that ZIP or its licensor or partners or the third parties (“IPs Owner”) owns all rights of the Intellectual Properties in Zipevent Services and all ZIP’s Content displayed or in connection with Zipevent Services.

You shall not do anything or causes anything to be done that would prejudice the IPs Owner's right, title and interest in their respective rights of Intellectual Properties. You undertake that you shall not lay any rights of Intellectual Properties claim to any tools, methods or processes created by the IPs Owner.

“คุณ” จะต้องไม่กระทำการใดๆ หรือก่อให้เกิดการกระทำใดๆ ที่จะส่งผลกระทบต่อสิทธิ กรรมสิทธิ์ และผลประโยชน์ของ “เจ้าของทรัพย์สินทางปัญญา” ที่มีสิทธิใน “ทรัพย์สินทางปัญญา” นั้น ทั้งนี้ “คุณ” ยอมรับว่า “คุณ” จะไม่เรียกร้องสิทธิใน “ทรัพย์สินทางปัญญา” ที่ปรากฏในเครื่องมือ วิธีการ หรือกระบวนการที่สร้างขึ้นโดย “เจ้าของทรัพย์สินทางปัญญา” นั้น

Nothing contained in this T&C obliges any IPs Owner to assign to any person any rights of Intellectual Properties owned by it.

You agree that ZIP shall own the aggregated and statistical data derived from the operation of Zipevent Services, including, without limitation, the number of records in Zipevent Services, the number and types of transactions, configurations, and reports processed in Zipevent Services and the performance results for Zipevent Services (the “Aggregated Data”). Nothing herein shall be construed as prohibiting ZIP from utilizing the Aggregated Data for purposes of operating ZIP’s business, provided however that ZIP’s use of Aggregated Data shall not reveal any Attendee Data to any third party.

“คุณ” ตกลงว่า “ซิป” จะเป็นเจ้าของข้อมูลทางสถิติและเป็นผลรวมที่ได้รับจากการให้ “บริการซิปอีเว้นท์” รวมถึงแต่ไม่จำกัดแค่เพียงจำนวนของบันทึกที่อยู่ใน “บริการซิปอีเว้นท์”, จำนวนและประเภทของธุรกรรม, การจัดเรียง และรายงานที่ประมวลผลได้ใน “บริการซิปอีเว้นท์” รวมทั้งผลการปฏิบัติงานของ “บริการซิปอีเว้นท์” ("ข้อมูลรวม") ทั้งนี้ “ข้อกำหนดและเงื่อนไข” ฉบับนี้ จะไม่ถูกตีความให้เป็นการห้าม “ซิป” ในการใช้ “ข้อมูลรวม” เพื่อวัตถุประสงค์ในการดำเนินธุรกิจของ “ซิป” เอง ภายใต้เงื่อนไขที่ว่า การใช้ “ข้อมูลรวม” ของ “ซิป” จะไม่เปิดเผย “ข้อมูลของผู้ร่วมงาน” ใดๆ ต่อบุคคลภายนอก

ZIP reserves the right to develop Zipevent Services without notice to you and you shall not take any action to restrict the right of ZIP to sell, license, assign or transfer the right and all rights of Intellectual Properties in such additional works/services to any person.

“ซิป” ขอสงวนสิทธิ์ในการพัฒนา “บริการซิปอีเว้นท์” โดยไม่ต้องแจ้งให้ “คุณ” รับทราบ และ “คุณ” จะไม่ดำเนินการใดๆ ที่เป็นการจำกัดสิทธิของ “ซิป” ในการขาย ให้สิทธิ ถ่ายหรือโอนสิทธิและสิทธิใน “ทรัพย์สินทางปัญญา” ทั้งปวงที่มีในงาน/บริการเพิ่มเติมใดๆ แก่บุคคลใดๆ

ZIP shall defend, indemnify and hold the Attendee harmless against any claims made or brought against the Attendee by a third party alleging that the use of Zipevent Services or ZIP’s Content as contemplated hereunder infringes the third party’s rights of Intellectual Properties enforceable in anywhere; provided, however, that the Attendee: (a) promptly gives a written notice of the claim to ZIP; (b) gives ZIP sole control of the defense and settlement of the claim (provided that ZIP may not settle any claim unless the settlement unconditionally releases the Attendee of all liabilities); and (c) provides to ZIP, at ZIP's cost, all reasonable assistance. ZIP shall not be required to indemnify the Attendee in respect of any claim to the extent that the claim arises from: (1) modification of Zipevent Services by the Attendee in conflict with the Attendee’s obligations or as a result of any prohibited activity as set forth herein; (2) use of Zipevent Services in a manner inconsistent with the documentation provided by ZIP; (3) use of Zipevent Services in combination with any other service not provided by ZIP; or (4) use of Zipevent Services in a manner not otherwise contemplated by this T&C.

“ซิป” จะปกป้อง, ชดใช้ความเสียหาย และป้องกัน “ผู้ร่วมงาน” จากข้อเรียกร้องของบุคคลภายนอกที่กล่าวหา “ผู้ร่วมงาน” ว่า การใช้ “บริการซิปอีเว้นท์” หรือการใช้ “เนื้อหาสาระ” ของ “ซิป” ตามที่กำหนดไว้ในนี้เป็นการละเมิดสิทธิใน “ทรัพย์สินทางปัญญา” ของบุคคลภายนอกที่ใช้บังคับอยู่ที่ใดก็ตาม อย่างไรก็ตาม ภายใต้เงื่อนไขที่ว่า “ผู้ร่วมงาน” จะ: (ก) แจ้งข้อเรียกร้องนั้นให้ “ซิป” ทราบเป็นลายลักษณ์อักษรในทันที; (ข) ให้ “ซิป” มีอำนาจแต่เพียงผู้เดียวในการต่อสู้คดีและระงับข้อเรียกร้อง (โดยมีเงื่อนไขว่า “ซิป” อาจไม่ระงับข้อเรียกร้องใดๆ เว้นแต่การระงับนั้นจะเป็นการปลดเปลื้อง “ผู้ร่วมงาน” จากความรับผิดทั้งปวงอย่างไม่มีเงื่อนไข); (ค) ให้ความช่วยเหลือ “ซิป” ตามสมควรด้วยค่าใช้จ่ายของ “ซิป” เอง ทั้งนี้ “ซิป” ไม่จำเป็นต้องชดใช้ความเสียหายให้แก่ “ผู้ร่วมงาน” ในส่วนที่เกี่ยวกับการข้อเรียกร้องใดๆ ที่เกิดมาจาก: (1) การดัดแปลง “บริการซิปอีเว้นท์” ของ “ผู้ร่วมงาน” ที่ฝ่าฝืนการปฏิบัติหน้าที่ของ “ผู้ร่วมงาน” หรือเป็นผลมาจากการกระทำใดๆ ที่ต้องห้ามไว้ในนี้; (2) การใช้ “บริการซิปอีเว้นท์” ในลักษณะที่ไม่สอดคล้องกับเอกสารที่ “ซิป” จัดไว้ให้; (3) การใช้ “บริการซิปอีเว้นท์” ร่วมกับบริการอื่นใดที่ “ซิป” ไม่ได้จัดไว้ให้; หรือ (4) การใช้ “บริการซิปอีเว้นท์” ในลักษณะที่ไม่ได้เป็นไปตามที่กำหนดไว้ใน “ข้อกำหนดและเงื่อนไข” นี้

This T&C shall remain in full force and effect while you use Zipevent Services and/or are a user. You may terminate your subscription for the Zipevent Services at any time, for any reason with notice to ZIP. ZIP can terminate your access to all or any part of Zipevent Services at any time, with or without cause, with or without notice, effective immediately. Upon termination for whatsoever reason, the Attendee shall immediately cease the use of Zipevent Services and ZIP may immediately cancel Attendee’s User Identity, delete the files in the Attendee’s account, bar any further access to such files or Zipevent Services on the effective date of termination.

“ข้อกำหนดและเงื่อนไข” นี้จะยังคงมีผลใช้บังคับอย่างสมบูรณ์ในขณะที่ “คุณ” ใช้ “บริการซิปอีเว้นท์” และ/หรือเป็นผู้ใช้งานอยู่ โดยคุณสามารถยกเลิกการสมัครใช้ “บริการซิปอีเว้นท์” ได้ทุกเมื่อไม่ว่าด้วยเหตุผลใดๆ ก็ตาม ด้วยการแจ้งให้ “ซิป” ทราบ ทั้งนี้ “ซิป” สามารถยุติการเข้าถึง “บริการซิปอีเว้นท์” ของ “คุณ” ทั้งหมดหรือบางส่วนได้ตลอดเวลาไม่ว่าจะมีหรือไม่มีสาเหตุ หรือจะแจ้งหรือไม่แจ้งให้ทราบก่อนก็ตาม โดยจะมีผลในทันที อนึ่ง เมื่อมีการสิ้นสุดลงไม่ว่าด้วยเหตุผลใดๆ ก็ตาม “ผู้ร่วมงาน” จะยุติการใช้ “บริการซิปอีเว้นท์” โดยทันที และ “ซิป” อาจจะยกเลิก “ข้อมูลแสดงตัวผู้ใช้” ของ “ผู้ร่วมงาน” ในทันที, ลบไฟล์ในบัญชีของ “ผู้ร่วมงาน”, ปิดกั้นการเข้าถึงไฟล์ดังกล่าวหรือ “บริการซิปอีเว้นท์” ในวันที่มีผลเป็นอันสิ้นสุดลงได้

Any fees paid hereunder for Zipevent Services, either on a one-time or subscription basis, are non-refundable upon termination.

ค่าธรรมเนียมใดๆ ที่ได้จ่ายในที่นี้สำหรับ “บริการซิปอีเว้นท์” ไม่ว่าจะเป็นแบบครั้งเดียว หรือแบบสมัครสมาชิก จะไม่สามารถขอคืนได้เมื่อมีการสิ้นสุดลงแล้ว

All provisions of the T&C, which by their nature should survive termination, including without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability, shall remain in full force and effect.

ZIP, its affiliates, employees, contractors, directors, suppliers, distributors and representatives shall not be liable under contract, tort, strict liability, negligence or any other legal or equitable relief with respect to Zipevent Services for:

You acknowledge and agree that ZIP is not responsible for the accuracy, completeness, or any mistakes in the Content on ZIP’s website (www.zipeventapp.com) and Zipevent Services that may result from out-of-date information or spelling mistakes arising from human errors of the staff of ZIP or details acquired from the Organizer or a third party, or any user, including opinions and recommendations of the staff under the care of ZIP. ZIP reserves the right to amend the Content on the website without prior notice.

You acknowledge and manifestly agree that ZIP admits no responsibility toward the Attendee’s inability to use Zipevent Services (in any aspect) of ZIP’s website or application.

“คุณ” รับทราบและยอมรับอย่างชัดแจ้งว่า “ซิป” จะไม่รับผิดชอบต่อการที่ “ผู้ร่วมงาน” ไม่สามารถใช้ “บริการซิปอีเว้นท์” (ในแง่มุมใดๆ) ของเว็บไซต์ หรือแอปพลิเคชันของ “ซิป”

You agree to be responsible for any risk that may arise from choosing the device to use Zipevent Services from ZIP’s website such as mobile phones, computer, hardware, and other items including fees for the use of Zipevent Services rendered.

You acknowledge that the media and Content on ZIP’s website may be inaccurate due to a technical fault or misspelling. Furthermore, providing media, information, and Zipevent Services on ZIP’s website will be in a “as is” manner with no condition, guarantee, or any type of disclaimer. Therefore, ZIP refuses to guarantee the conditions of any product, whether explicitly or implicitly, in its entirety. This includes, but is not limited to, implied warranties or conditions suitable for commercial purposes by default, satisfactory quality, suitability of the purpose or the need to use for specific purpose, rightful ownership, and not infringing with respect to ZIP’s website and its Content and media thereon. ZIP does not represent that the use of ZIP’s website shall not cause disruption and the use of ZIP’s website is subject to the laws imposed on you or the sending of Attendee Data which pertains to ZIP’s website shall be successful, correct, and delivered safely. However, any rejections mentioned above are subject to the extent permitted by law.

“คุณ” รับทราบว่า สื่อและ “เนื้อหาสาระ” บนเว็บไซต์ของ “ซิป” อาจจะไม่ถูกต้องเนื่องจากความผิดพลาดทางเทคนิคหรือการสะกดผิดได้ นอกจากนี้ การจัดให้มีสื่อ, ข้อมูล และ “บริการซิปอีเว้นท์” บนเว็บไซต์ของ “ซิป” จะเป็นไปในลักษณะ “ตามสภาพที่เป็นอยู่” โดยปราศจากเงื่อนไข, การรับประกัน หรือการปฏิเสธความรับผิดชอบใดๆ ทั้งสิ้น ด้วยเหตุนี้ “ซิป” จึงปฏิเสธที่จะรับประกันสภาพของผลิตภัณฑ์ใดๆ ไม่ว่าจะโดยชัดแจ้งหรือโดยปริยายก็ตาม ซึ่งรวมถึงแต่ไม่จำกัดแค่เพียงการรับประกันโดยนัย หรือสภาพที่เหมาะสมเพื่อวัตถุประสงค์ทางการค้า, คุณภาพที่น่าพอใจ, การเป็นไปตามเป้าหมายหรือความจำเป็นในการใช้งานเพื่อวัตถุประสงค์เฉพาะ, ความเป็นเจ้าของที่ถูกต้อง และการไม่ละเมิดของเว็บไซต์ของ “ซิป” และ “เนื้อหาสาระ” รวมทั้งสื่อในนั้นด้วย นอกจากนั้น “ซิป” ไม่รับรองว่า การใช้เว็บไซต์ของ “ซิป” จะไม่ทำให้เกิดการหยุดชะงัก และการใช้เว็บไซต์ของ “ซิป” จะอยู่ภายใต้กฎหมายที่กำหนดไว้ให้ “คุณ” ปฏิบัติ หรือการส่ง “ข้อมูลของผู้ร่วมงาน” ซึ่งเกี่ยวข้องกับเว็บไซต์ของ “ซิป” จะเป็นผลสำเร็จ, ถูกต้อง และส่งมอบอย่างปลอดภัย อย่างไรก็ตาม การปฏิเสธใดๆ ที่กล่าวถึงข้างต้น จะต้องอยู่ภายใต้ขอบเขตที่กฎหมายอนุญาตไว้ด้วย

ZIP PROVIDES ZIPEVENT SERVICES ON AN "AS IS" BASIS AND GRANTS NO WARRANTIES OF ANY KIND, EXPRESSED, IMPLIED OR STATUTORY, IN ANY COMMUNICATION WITH ZIP’S REPRESENTATIVES, ZIP OR OTHERWISE WITH RESPECT TO ZIPEVENT SERVICES. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAWS, ZIP SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

“ซิป” จัดให้มี “บริการซิปอีเว้นท์” “ตามสภาพที่เป็นอยู่" และไม่มีการรับประกันใดๆ ทั้งสิ้น ไม่ว่าโดยชัดแจ้ง โดยนัยหรือตามกฎหมาย ในเรื่องการติดต่อสื่อสารใดๆ กับตัวแทนของ “ซิป”, “ซิป” หรือโดยประการอื่นใดที่เกี่ยวข้องกับ “บริการซิปอีเว้นท์” ทั้งนี้ ภายใต้ขอบเขตสูงสุดของกฎหมายที่ใช้บังคับได้อนุญาตไว้ “ซิป” ขอปฏิเสธการรับประกันโดยนัยใดๆ เกี่ยวกับความสามารถในทางการค้า หรือความเหมาะสมกับวัตถุประสงค์เฉพาะด้วย

ZIP DOES NOT WARRANT THAT YOUR USE OF ZIPEVENT SERVICES WILL BE SECURE, UNINTERRUPTED, ALWAYS AVAILABLE OR ERROR-FREE AT ANY PARTICULAR TIME OR LOCATION, OR THAT ANY CONTENT OR SOFTWARE ARE AVAILABLE AT OR THROUGH ZIPEVENT SERVICES, ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ZIPEVENT SERVICES WILL MEET YOUR REQUIREMENTS OR THAT ANY DEFECTS IN ZIPEVENT SERVICE WILL BE CORRECTED. ZIP DISCLAIM LIABILITY FOR, AND NO WARRANTY IS MADE WITH RESPECT TO CONNECTIVITY AND AVAILABILITY.

“ซิป” ไม่รับประกันว่า การใช้ “บริการซิปอีเว้นท์” ของ “คุณ” จะปลอดภัย, ไม่ถูกรบกวน, พร้อมใช้งานตลอดเวลา หรือปราศจากข้อผิดพลาดในเวลาหรือสถานที่ใดๆ โดยเฉพาะ, หรือว่า “เนื้อหาสาระ” หรือโปรแกรมคอมพิวเตอร์ใดๆ ที่ได้จัดไว้ให้ที่หรือผ่าน “บริการซิปอีเว้นท์” ไม่มีไวรัส หรือส่วนประกอบที่เป็นอันตรายอื่นๆ, หรือว่า “บริการซิปอีเว้นท์” จะเป็นไปตามความต้องการของ “คุณ”, หรือว่าข้อบกพร่องใดๆ ใน “บริการซิปอีเว้นท์” จะได้รับการแก้ไข อนึ่ง “ซิป” ขอปฏิเสธความรับผิด และไม่รับประกันเกี่ยวกับการเชื่อมต่อและความพร้อมในการให้บริการด้วย

ZIP is not responsible or liable and makes no representations or warranties for the delivery of any messages sent through Zipevent Services to anyone and is not responsible for any loss of Attendee Data stored on its database.

“ซิป” จะไม่รับผิดชอบหรือมีความรับผิด และไม่รับรองหรือรับประกันเกี่ยวกับการส่งข้อความใดๆ ที่ส่งผ่าน “บริการซิปอีเว้นท์” ไปยังผู้ใด และไม่รับผิดชอบต่อการสูญหายของ “ข้อมูลของผู้ร่วมงาน” ที่เก็บไว้ในฐานข้อมูลของตนด้วย

ZIP will not assume any fiduciary duty and/or special relationship with respect to its users of Zipevent Services.

“ซิป” จะไม่ยอมรับเอาหน้าที่รับฝากทรัพย์สิน และ/หรือมีความสัมพันธ์พิเศษใดๆ ที่เกี่ยวกับผู้ใช้ “บริการซิปอีเว้นท์”

You acknowledge and agree that you shall download or otherwise obtain material or data through the use of Zipevent Services at your own discretion and risk and that you will be solely responsible for any damages to your computer system or loss of data that results from the download of such material or data.

“คุณ” รับทราบและตกลงว่า “คุณ” จะดาวน์โหลด หรือรับวัสดุ หรือข้อมูลโดยประการใดๆ ผ่านการใช้ “บริการซิปอีเว้นท์” ตามดุลยพินิจและความเสี่ยงของ “คุณ” เอง และ “คุณ” จะต้องรับผิดชอบแต่เพียงลำพังสำหรับความเสียหายใดๆ ที่เกิดขึ้นกับระบบคอมพิวเตอร์ของ “คุณ” หรือการสูญเสียข้อมูลอันเป็นผลมาจากการดาวน์โหลดวัสดุหรือข้อมูลดังกล่าว

Your correspondence or business dealings with other ZIP’s users, including payment and related services, and any terms and conditions, warranties or representations associated with such dealings, are solely between you and other users of ZIP.

การติดต่อกัน หรือความสัมพันธ์ทางธุรกิจของ “คุณ” กับผู้ใช้งานอื่นๆ ของ “ซิป” รวมถึงการชำระเงิน และบริการที่เกี่ยวข้อง ตลอดจนข้อตกลงและเงื่อนไขอื่นๆ, การรับประกัน หรือการรับรองที่เกี่ยวข้องกับความสัมพันธ์กันดังกล่าว จะเป็นเพียงเรื่องระหว่าง “คุณ” กับผู้ใช้งานอื่นๆ ของ “ซิป” เท่านั้น

ZIP shall not warrant any of ZIP’s Content, Organizer’s Content and information provided through Zipevent Services in term of but not limited to completeness, accuracy, certainly and usefulness.

“ซิป” จะไม่รับประกัน “เนื้อหาสาระ” ใดๆ ของ “ซิป”, “เนื้อหาสาระ” ของ “ผู้จัดงาน” และข้อมูลที่จัดไว้ให้ผ่าน “บริการซิปอีเว้นท์” ในเรื่องของเช่น ความครบถ้วนสมบูรณ์, ความถูกต้อง, ความแน่นอน และการเป็นประโยชน์

ZIP shall not warrant correct behaviour or performance for any devices or software you use for Zipevent Services.

“ซิป” จะไม่รับประกันสมรรถนะการทำงานหรืออาการที่ถูกต้องของอุปกรณ์หรือโปรแกรมคอมพิวเตอร์ใดๆ ที่ “คุณ” ใช้สำหรับ “บริการซิปอีเว้นท์”

ZIP takes no responsibility for any trouble or dispute arising between you and the Organizer or any third party relating to or in connection with using Zipevent Services.

“ซิป” จะไม่รับผิดชอบต่อปัญหา หรือข้อพิพาทใดๆ ที่เกิดขึ้นระหว่าง “คุณ” กับ “ผู้จัดงาน” หรือบุคคลภายนอกที่เกี่ยวข้องหรือสัมพันธ์กับการใช้ “บริการซิปอีเว้นท์”

Integration and Severability: This T&C supersede all prior or contemporaneous communications and proposals (oral, written and electronic) between you and Zip. If any provision of the T&C is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the T&C will otherwise remain enforceable or valid.

การรวมเข้าด้วยกันและการแยกออกจากกันได้: “ข้อกำหนดและเงื่อนไข” นี้มีผลแทนที่การติดต่อสื่อสารและข้อเสนอก่อนหน้าหรือในปัจจุบันทั้งปวง (โดยวาจา, ลายลักษณ์อักษร และอิเล็กทรอนิกส์) ระหว่าง “คุณ” กับ “ซิป” ทั้งนี้ หากพบว่าบทบัญญัติใดๆ ของ “ข้อกำหนดและเงื่อนไข” ไม่สามารถบังคับใช้ได้ หรือเป็นโมฆะ บทบัญญัตินั้นจะถูกจำกัด หรือตัดออกไปเท่าที่จำเป็น เพื่อให้ “ข้อกำหนดและเงื่อนไข” ยังคงมีผลใช้บังคับหรือไม่เป็นโมฆะต่อไป

Audit: The Attendee shall allow ZIP to inspect the use of Zipevent Services at any time in order to verify the Attendee’s compliance with this T&C.

การตรวจสอบ: “ผู้ร่วมงาน” จะอนุญาตให้ “ซิป” ดำเนินการตรวจสอบการใช้ “บริการซิปอีเว้นท์” ได้ในเวลาใดๆ เพื่อการตรวจสอบการปฏิบัติตาม “ข้อกำหนดและเงื่อนไข” นี้ของ “ผู้ร่วมงาน”

Assignment: The Attendee is unable to assign its rights, interests and obligations in this T&C to any person without the prior written consent of ZIP. This T&C shall be binding upon, and inure to the benefit of, the Attendee and their respective successors and permitted assigns.

การโอนสิทธิ: “ผู้ร่วมงาน” ไม่สามารถโอนสิทธิ, ผลประโยชน์ และหน้าที่ใดๆ ใน “ข้อกำหนดและเงื่อนไข” นี้ให้แก่บุคคลใดๆ โดยไม่ได้รับความยินยอมเป็นลายลักษณ์อักษรจาก “ซิป” ก่อน ทั้งนี้ “ข้อกำหนดและเงื่อนไข” นี้จะผูกพันและมีผลต่อประโยชน์ของ “ผู้ร่วมงาน” และผู้สืบทอด รวมถึงผู้รับโอนที่ได้รับอนุญาตด้วย

Waiver of Rights: The failure of ZIP to exercise any of its rights or delay in exercising its rights or powers contained in this T&C at any time shall not be construed as a waiver for the future of such rights.

การสละสิทธิ: ในกรณีที่ “ซิป” ไม่ใช้สิทธิหรือใช้สิทธิหรืออำนาจใน “ข้อกำหนดและเงื่อนไข” นี้ล่าช้าในเวลาใดๆ จะไม่ถือเป็นการสละสิทธิดังกล่าวในอนาคตด้วย

Languages: This T&C is prepared in English and Thai languages, and English text shall prevail in the event that there is any inconsistency between English and Thai languages or this T&C is translated for any purpose into other languages.

ภาษา: “ข้อกำหนดและเงื่อนไข” นี้ จัดทำขึ้นเป็นภาษาอังกฤษและภาษาไทย และให้ข้อความภาษาอังกฤษมีผลใช้บังคับในกรณีที่มีข้อขัดแย้งระหว่างภาษาอังกฤษและภาษาไทย หรือมีการแปล “ข้อกำหนดและเงื่อนไข” นี้เป็นภาษาอื่นๆ เพื่อวัตถุประสงค์ใดๆ ก็ตาม
